seeking to hire a Financial Manager to oversee the finance function of Duys while leading the
financial component of the merger between Duys and Escopil. This position is a full-time
managerial role, but the merger will be the primary focus of the candidate’s work during the
initial phase. The Financial Manager will be responsible for ensuring financial accuracy,
regulatory compliance, and operational alignment between the two entities, making financial

- Objective of the Assignment
Financial Management Responsibilities:
Oversee Duys’ financial operations, ensuring efficient management of resources.
Strengthen financial controls, improve reporting accuracy, and optimize financial
performance.
Ensure compliance with IFRS and regulatory requirements.
Merger-Related Responsibilities (Primary Focus):
Lead the financial integration of Duys and Escopil, ensuring financial statements reflect
the true economic reality.
Conduct financial due diligence and align financial reporting frameworks between the
two companies.
Develop financial models and forecasts to support the merger process.

3.1. Financial Oversight & Management
Supervise Duys’ financial health, including budgeting, forecasting, and financial
reporting.
Ensure financial operations align with Escopil Group’s strategic objectives.
Maintain financial controls and ensure compliance with international and local financial
regulations.
3.2. Merger Execution – Primary Focus of the Role
Lead the financial preparation and integration of Duys and Escopil, ensuring
seamless financial consolidation.
Ensure that financial statements accurately reflect the companies' true economic
reality to support the merger process.
Identify and rectify inconsistencies, misstatements, or gaps in financial reporting that
could impact the merger.
3.3. Financial Due Diligence & Integration
Conduct a comprehensive financial due diligence to assess the financial position of
Duys and Escopil.
Align financial reporting methodologies, accounting policies, and internal controls
between the two companies.
Develop financial models and forecasts for the post-merger entity.
Ensure financial transparency and support strategic decision-making throughout the
merger process.
3.4. Regulatory & Compliance Alignment
Ongoing Financial Compliance:
Ensure compliance with IFRS and other relevant international accounting
standards.
Manage regulatory and tax compliance obligations.
